TERMS AND CONDITIONS

This Contract Agreement governs your use of 241hits.com's service, which allows you to place our codes, pages, banners and links on your web site. 241hits.com reserves the right to modify, or change these Terms and Conditions at any time without notice.

1. 241hits.com does not accept adult content sites. Web sites must not contain nudity, partial nudity, violence, vulgar language, or links to adult sites.

Other Web Sites that are not accepted;
i. Non-English language web sites.
ii. Alcohol and tobacco related web sites.
iii. Web sites engaged in the promotion of illegal substances or activities.
iv. Web sites that contain racial, ethnic, political, or otherwise objectionable content.

2. Members must place and keep our code on their page in order to participate in our program. If a member takes our code off, member account may be terminated and member will forefit all credits that have obtained. Members must meet the minimum requirement of 100 visitors per day to receive 500 free hits, 200 per day to receive 1,000 free hits, 300 per day to receive 1,500 free hits, 400 per day to receive 2,000 free hits, and 1000 visitors per day to receive the 5,000 free hits.

3. Participants who decide to generate free advertising by placing a pop-under code in their page(s) agree to not artificially inflate traffic counts using a program (including scripts), device, or other means.

4. All account information you provide us will remain confidential. Email addresses, and site data are not disclosed to third parties unless you give us permission to do so.

5. Sites that provide us with a page that in our opinion takes a long time to load, has excessive files, pop windows, or any other page load inhibitor will have a pop-under page generated by our servers (the content would be a hyperlink of the "title" you provide us).

6. Sites are reviewed frequently for content and appearance. 241hits.com reserves the right to refuse or cancel membership for any reason. Members found to be attempting to defraud the 241hits.com.com website or its advertisers will have their membership status revoked, their account balance forfeited and will be criminally prosecuted to the fullest extent allowable by law.

7. Members may not employ any measure or technique to artificially increase hits or statistics. Prohibited measures include but are not limited to auto spawning of browsers, automatic redirecting of users, and altering Codes. Any of the above may result in immediate termination of your membership. In the event of suspected fraud, we reserve the right to take appropriate legal action and inform appropriate investigative and law enforcement authorities. We reserve the right to withhold payment and credits to any member site that exhibits questionable activity. We also reserve the right to use fraud-prevention software.

8. Deviations or alterations to any code provided by 241hits.com is prohibited. We will approve changes that do not diminish the value of the 241hits.com program.

9. Paid advertisers CANNOT put more than ONE (1) exit window and they CANNOT put ANY popup window that pops over the current window. If an advertiser is found to violate this policy, they will be placed in the "TooManyPops" category and their website will not be shown until such time they adhere to our policy.

10. Members agree to comply with all the terms of this agreement for as long as they are using the services of 241hits.com. Members sites will not violate or infringe upon any copyright, trademark, patent, statutory, common law or proprietary rights of others, or contain any misrepresentation or anything defamatory, obscene, offensive or harmful.

11. 241hits.com does not make any guarantees or warranties regarding dependability, accuracy, or timeliness of our service. 241hits.com cannot be held liable for any damage or loss of information that may occur from use of our service. We offer no warranties or guarantees regarding the effectiveness and results of your paid or free advertising campaigns.

12. THIS SERVICE IS PROVIDED ON AN "AS IS, AS AVAILABLE" BASIS, AND MAY BE SUBJECT TO DISRUPTIONS OR ERRORS. 241hits.com GIVES NO WARRANTY, EXPRESS OR IMPLIED, REGARDING THE SERVICE OR ANY RELATED SOFTWARE, CODE, OR PRODUCT, AND EXPRESSLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS.

13. ALL SALES ON 241hits.com ARE FINAL AND NO REFUNDS WILL BE PROVIDED.

14. IN NO EVENT WILL 241hits.com BE LIABLE TO MEMBERS FOR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL OR INDIRECT DAMAGES OF ANY KIND OR NATURE, INCLUDING BUT NOT LIMITED TO LOSS OF INCOME, LOSS OR DAMAGE OF DATA, AND DAMAGE TO BUSINESS REPUTATION, UNDER ANY THEORY OF LAW OR EQUITY, AND WHETHER OR NOT 241hits.com IS NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES.

15. By participating and becoming a member of 241hits.com web site, you agree to periodically receive e-mails and other forms of advertising from 241hits.com/iHalo Corp. and/or advertisers or sponsors. If you do not wish to receive these announcements, send us an e-mail at contact@241hits.com. 241hits.com is not responsible for and shall have no liability to any person with respect to any advertising materials of third parties appearing on the 241hits.com web site or on any other site to which members may go through a link from the 241hits.com site.

16. Members agree to indemnify and hold 241hits.com its officers, directors, shareholders, agents, and representatives harmless from and against any and all claims, demands, liabilities, expenses (including attorneys’ fees), losses, and damages arising from any and all claims and lawsuits, including but not limited to claims for libel, slander, copyright infringement, and trademark violation, resulting from the contents of your web page or site, your use of the Service, or your failure to comply with any part of this Membership Agreement.

17. The term of this Agreement is perpetual. Parties my cancel at any time, without liability to the other party, upon notification by email. Upon cancellation of the Service by you or 241hits.com, you will immediately remove all references codes, from Your Site.

18. 241hits.com reserves the right to change the terms and conditions of this Contract Agreement at any time. Members are responsible for complying with any new rules posted on the website within 30 days of the date changes are posted.

19. iHalo Corp. has complete ownership and rights to the 241hits.com names, logos, programs, databases, reports, web sites, and information. All materials contained in the 241hits.com web site are copyright © 2001 iHalo Corp.
